omission by the Expat which if done or omitted, would be a breach
of this Non Disclosure Agreement.
6. EMPLOYEES
Each party agrees that it shall not solicit or otherwise encourage, any employee,
subexpat, supplier or customer of the other party to terminate its relationship with that
party or to enter into any relationship with the other party either during the term of this Non
Disclosure Agreement or for a period of 6 months subsequent to the termination of it.

7. GENERAL
7.1 The Client will be, subject to the application of normal legal rules, entitled to temporary
injunctive relief upon any breach or threatened breach by the Expat of any of the
undertakings given in this Non Disclosure Agreement in whatever jurisdiction such breach
occurs, pending final determination on its merits of any controversy arising in regard to such
breach.
7.2 The Client shall not be deemed to have waived any of its rights in terms of this Non
Disclosure Agreement by virtue of the fact that it has failed to take steps to enforce such
right or by virtue of any other indulgence granted to the Expat.
7.3 The provisions of this Non Disclosure Agreement:
i. are intended to be binding upon the Expat; and
ii. may be amended or waived by the disclosing party.
7.4 No amendment of any provision of this Non Disclosure Agreement nor consent to any
departure by the parties hereto from the terms hereof shall in any event be effective unless
the same shall be in writing and signed by the parties hereto. No party hereto may assign
this Non Disclosure Agreement other than to an assignee of the business of that party. Any
attempted assignment of this Non Disclosure Agreement other than to such an assignee
shall be void.
7.5 No failure on the part of any party hereto to exercise, and no delay in exercising, any rights,
power, or remedy under this Non Disclosure Agreement shall operate as a waiver thereof;
nor shall any failure to exercise any right under this Non Disclosure Agreement or failure to
enforce any provision of this Non Disclosure Agreement preclude any subsequent exercise or
enforcement thereof or the exercise of any other right.
7.6 If any portions of this Non Disclosure Agreement are found to be void or unenforceable the
remaining portions thereof will be binding on the Expat and will be enforced with the
same effect as though the void and unenforceable portions were deleted.
7.7 The provisions of this Non Disclosure Agreement supersede any prior agreement between
the parties
7.8 This Non Disclosure Agreement shall be governed by the laws of China.
